These Terms of Use ("Terms") govern your access to and use of the website and services provided by Arx Inc. ("Arx Inc.," "we," "us," or "our"), a Virginia C Corporation. By accessing or using our website or services, you agree to be bound by these Terms.
By accessing or using our website at arxaudit.com (the "Site") or engaging our professional services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Site or services.
Arx Inc. provides independent smart contract security audit services and on-chain risk intelligence reports for blockchain protocols, decentralized applications, and digital asset projects. Our services include, but are not limited to, manual code review, automated vulnerability analysis, economic attack modeling, and risk assessment reporting.
Security audit reports are professional assessments based on manual code review and automated analysis tooling performed at a specific point in time. Audit reports do not constitute a guarantee, warranty, or certification that the audited code is free from all vulnerabilities, bugs, or exploits. Subsequent modifications to the codebase may introduce new vulnerabilities not covered by the original engagement.
On-chain risk intelligence reports are research products and do not constitute financial advice, investment recommendations, or endorsements of any protocol, token, or digital asset.
All audit engagements are governed by a separately executed Master Services Agreement ("MSA") between Arx Inc. and the client. In the event of any conflict between these Terms and the MSA, the MSA shall prevail with respect to the specific engagement.
The scope of each engagement is defined in the applicable Statement of Work ("SOW") attached to the MSA. Arx Inc. is not responsible for reviewing code, contracts, or systems not explicitly included in the SOW.
Arx Inc. accepts payment in cryptocurrency (ETH, USDC, DAI) and USD wire transfer. Payment terms, amounts, and schedules are specified in the applicable SOW. All fees are non-refundable once the engagement has commenced, except as otherwise specified in the MSA.

Audit reports are the intellectual property of Arx Inc. Clients receive a license to use, distribute, and publish their audit reports as specified in the MSA.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARX INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR OUR SERVICES.
Arx Inc.'s total aggregate liability for any claims arising under these Terms or related to our services shall not exceed the fees paid by you to Arx Inc. for the specific engagement giving rise to the claim.
You agree to indemnify, defend, and hold harmless Arx Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site, violation of these Terms, or infringement of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Fairfax, Virginia.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
